About the Role (Contract 18 Months)
As a key member of Corus Entertainment’s Legal, Regulatory and Governance department you will provide public company securities law advice, support deal teams on corporate finance and M&A transactions as well as certain real estate transactions.
You will also draft and negotiate agreements, some of which are complex corporate transactions, provide knowledgeable corporate secretarial support to Corus’ subsidiaries, mentor corporate law clerks and provide practical legal and business counsel to a variety of internal clients.
You will be joining a talented and collegial team that works closely with business partners on dynamic projects and complex questions. The role is an 18-month contract and will be based in Toronto, ON (combination of onsite and remote/work from home) and will report to the Vice President, Associate General Counsel and Head of Corporate Governance.
You’ll contribute by:
- Public company obligations including continuous disclosure
- Corporate governance matters, including corporate secretarial
- M&A (drafting, negotiating, due diligence and regulatory advice)
- Certain real estate transactions such as dispositions and leases
- Providing advice and guidance to law clerks and paralegals
- Complex corporate transactions
- Supporting the development and interpretation of policies
- Supervising and directing external counsel on certain transactions
Skills and experience you will bring:
- Ideally 5 years of corporate and securities law experience gained working in private practice or a combination of private practice and in-house at a mid-to-large size company
- Meaningful experience advising on Canadian securities regulation (public company) and the CBCA and/or OBCA
- LLB or JD from an accredited institution, and licensed in good standing to practice law in Canada
- Demonstrated record of balancing risk and pace in negotiations
- Proven track record of collaborating with different levels of stakeholders, including senior executives, while fostering cross-functional collaboration
- Exceptional communication and legal skills and ability to be persuasive and influence with internal and external stakeholders
- Comfortably and capably advises senior internal and external leaders
- Works collaboratively and with common goals in mind
- Works effectively with ambiguity and in evolving landscape and is capable of developing concrete targets and work product
- Demonstrates exceptional judgment and ability to weigh and illustrate risk, potential impacts and outcomes
